Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Sillex Tech LLC, doing business as VibeKitchen (“VibeKitchen,” “we,” “us”). They govern your use of the VibeKitchen app and services. By creating an account or using VibeKitchen, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use VibeKitchen.

Who can use VibeKitchen

You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your login credentials secure and for all activity under your account. The information you provide at signup must be accurate.

What VibeKitchen is — and is not

VibeKitchen is a software tool that lets a chef publish a storefront, list items, and receive and manage orders. VibeKitchen is not the seller or producer of any food. The sale of food is directly between the chef and the buyer. We are not a party to that transaction, we do not prepare, inspect, or deliver any food, and we are not responsible for the quality, safety, labeling, or legality of anything a chef sells.

Chef responsibilities

If you use VibeKitchen to sell food, you are solely responsible for:

  • Following all applicable cottage food, food-safety, licensing, permitting, labeling, and tax laws in your state and locality.
  • The accuracy of your listings, prices, ingredients, allergen information, and pickup or delivery details.
  • Preparing and fulfilling orders you accept, and handling cancellations, refunds, and customer issues fairly.
  • Reporting and paying your own taxes on your sales.

You represent that you are legally permitted to sell the items you list. We may remove listings or suspend accounts that we believe violate these Terms or the law.

Payments and fees

Payments are processed by Stripe. To accept payments you must complete Stripe’s onboarding and accept the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement.

For orders placed through your storefront you are the merchant of record. Your shop name appears on the buyer’s card statement, Stripe’s payment processing fee is deducted from your proceeds, and chargebacks are debited from your Stripe balance. VibeKitchen does not absorb payment processing costs or chargebacks.

VibeKitchen charges a 6% platform fee on each order. You choose whether that fee is added to the buyer’s total or absorbed from your own proceeds, and the buyer sees the result at checkout. Refunds and cancellations are initiated by the chef and are subject to Stripe’s handling. Payouts are deposited to your connected account. VibeKitchen does not store card or bank-account numbers — see the Privacy Policy.

Your content

You keep ownership of the storefront name, photos, descriptions, and other content you upload (“Your Content”). You grant VibeKitchen a non-exclusive, worldwide, royalty-free license to host, display, and reproduce Your Content for the purpose of operating and promoting your storefront and the service. You are responsible for having the rights to everything you upload, and Your Content must not infringe others’ rights or violate the law.

Acceptable use

When using VibeKitchen or this website, you may not:

  • Use the service for anything unlawful, fraudulent, or deceptive.
  • Impersonate another person or use an email address that isn’t yours.
  • Scrape, automate, reverse-engineer, or attempt to disrupt the service or its APIs.
  • Upload malware, or content that is infringing, abusive, or illegal.

Laws change. Before you sell food, verify current requirements with your state or county agency or a qualified attorney.

Termination

You may stop using VibeKitchen and delete your account at any time. We may suspend or terminate access if you violate these Terms, if required to protect buyers or the service, or if we discontinue the service. Provisions that by their nature should survive termination (such as disclaimers, limitation of liability, and indemnification) will survive.

Disclaimers and limitation of liability

VibeKitchen is provided “as is” and “as available.” We do not warrant that it will be uninterrupted or error-free, or that the state-law information is complete or accurate for your situation. To the fullest extent permitted by law, we disclaim all implied warranties. VibeKitchen is not liable for the food sold through the service or for disputes between chefs and buyers. To the fullest extent permitted by law, our total liability arising out of or relating to the service is limited to the greater of the fees we earned from your transactions in the three months before the claim, or US $100.

Indemnification

You agree to indemnify and hold VibeKitchen harmless from claims, damages, and costs arising out of the food or products you sell, your content, or your violation of these Terms or the law.

Changes to these Terms

We may update these Terms from time to time. Material changes update the “Last updated” date above, and chefs are asked to re-accept the updated Terms and Privacy Policy the next time they open the app. Continuing to use VibeKitchen after an update means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Maryland and applicable US federal law, without regard to conflict-of-laws rules.
